Terms and Conditions

1.1 You must be at least 21 years old.

1.2 You must hold an account with complete, accurate organization details: organization or institution name, business phone, business address and research field. Guest checkout is not offered.

1.3 We may verify any information you provide, request proof of affiliation, and limit, hold or refuse any order or account at our sole discretion.

2.1 Every product sold on this Site is sold strictly for in-vitro laboratory research, analytical or educational use by qualified professionals.

2.2 Products are not for human or animal consumption of any kind. They must not be ingested, injected, inhaled, applied to the body or administered to people or animals by any route.

2.3 Products are not drugs, foods, dietary supplements, cosmetics or medical devices.

2.4 Products are not intended for, and must not be used in, the diagnosis, treatment, cure, mitigation or prevention of any disease or condition in humans or animals.

2.5 Nothing on the Site, in our correspondence or on any label is advice on use, preparation, dosing or administration. We do not provide such guidance and will decline any request for it.

3.1 By placing an order you represent and warrant that you are a qualified professional trained in the safe handling of research chemicals, acting on behalf of a laboratory, institution, university, contract research organization or other legitimate research entity, and that the products will be used only within that entity's research.

3.2 You represent that you understand the hazards of handling the products, the controls needed to protect anyone exposed to them, and the regulations that apply to your possession and use of them.

3.3 Purchasing without such qualification or affiliation is a material breach of these Terms.

4.1 Prices are in US dollars and may change without notice. An order is accepted only when we confirm it by email.

4.2 We accept Visa and American Express. Card data is tokenized and processed by our payment processor; we never store card numbers.

4.3 At checkout you must tick two separate boxes: a research-use-only acknowledgment and an acceptance of these Terms. We keep a record of both, with a timestamp and your research field, for every order.

4.4 Age verification is completed at checkout through our verification partner. Orders that do not pass are not processed.

4.5 Texas sales tax is charged where applicable.

5.1 Shipping is a flat $9.99 per order and free when the order contains 5 or more vials.

5.2 We do not ship to PO Boxes. Please provide a street address.

5.3 Title and risk of loss pass to you when the carrier accepts the package. See the Shipping Policy for details.

Our Refund Policy, Return Policy and Chargeback Policy form part of these Terms. In short: all sales are final once an order ships; damaged, incorrect or missing items reported within 48 hours of delivery are replaced or refunded; please contact us before disputing a charge.

We screen orders for consistency with research use. We may cancel any order and close any account where information suggests use other than research use, where account details cannot be verified, or where these Terms are breached. Accounts closed for misuse are not reopened.

8.1 Products are supplied for research and are warranted only to conform to the specifications on their Certificate of Analysis at the time of shipment. All other warranties, express or implied, including merchantability and fitness for a particular purpose, are disclaimed to the extent permitted by law.

8.2 Our total liability for any claim relating to an order is limited to the amount you paid for that order. We are not liable for indirect, incidental, special or consequential damages.

You agree to indemnify, defend and hold harmless Orvani LLC and its members, managers, officers, employees, agents and suppliers from and against all claims, demands, losses, liabilities, damages, costs and expenses, including reasonable attorneys' fees, arising from or relating to: (a) your purchase, receipt, handling, storage, possession, use or disposal of any product, alone or in combination with any other substance; (b) any use of a product other than in-vitro research; (c) your breach of these Terms or of any representation you have made; or (d) your violation of any law or third-party right. This obligation survives the completion of your order and the closing of your account.

All Site content belongs to Orvani LLC or its licensors. You may not copy, scrape or republish it without written consent. You may not use the Site for any unlawful purpose or attempt to interfere with its operation.

Our Privacy Policy explains what we collect and why, and forms part of these Terms.

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to their jurisdiction.

If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. We may update these Terms; the version in force when you place an order applies to that order, and the version and your acceptance are stored with it. These Terms, with the policies referenced above, are the entire agreement between you and us about the Site and your orders.
